These Terms & Conditions (“Terms”) are a legal agreement between you and WebeDigital (“we”, “us”). By using our website, contacting us, or engaging our services, you confirm that you’re at least 18 and have authority to bind yourself or your organization.

We provide strategy and execution across Advanced SEO, content that ranks & converts, lifecycle/paid growth, and conversion-first web development. Exact deliverables, timelines, and pricing are set in a proposal or statement of work (“SOW”). If any conflict exists, the SOW controls for that project.

• Quotes exclude taxes and third-party costs unless stated otherwise.
• Invoices are due upon receipt (or as stated in the SOW). Late amounts may accrue interest up to the legal maximum.
• Pre-approved third-party costs (e.g., tools, ads, data) are billable.
• Retainers/subscriptions renew automatically unless cancelled per the SOW.
• We may suspend work for unpaid or overdue invoices.

Service scope can change by mutual written agreement. Once work begins, fees are generally non-refundable. We can pause by request; previously paid fees remain non-refundable and restarts may require a setup fee. Either party may cancel per the SOW.

• Provide timely access to stakeholders, info, platforms, and analytics.
• Designate a single decision-maker for feedback and approvals.
• Ensure your content, properties, and data comply with applicable laws and platform policies.
• Maintain backups. We’re not responsible for loss caused by lack of backup.

We may use third-party platforms and AI tools. Your use of such platforms is governed by their terms. We’re not liable for outages, changes, or policy decisions by third parties.

• Your Materials. You own the content, marks, and data you provide. You grant us a limited license to use them solely to deliver the services.
• Our IP. We retain our pre-existing IP, processes, and frameworks. Upon full payment, you receive a worldwide, non-exclusive license to deliverables created for you as defined in the SOW.
• Attribution. We may reference your name/logo as a client (portfolio/case studies) unless you opt out in writing.

Each party will protect the other’s confidential information and use it only to perform the services. We process personal data per our Privacy Policy and any data processing addendum mutually executed.

Except as expressly stated in an SOW, the Site and Services are provided “as is” and “as available” without warranties of any kind. We do not guarantee rankings, traffic, conversion, or revenue outcomes.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Our aggregate liability is limited to fees you paid to us during the three (3) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold WebeDigital harmless from claims arising from your content, websites, data, or breach of these Terms.

Either party may terminate an SOW for material breach not cured within ten (10) days of written notice. Sections that should survive (fees due, IP, confidentiality, disclaimers, liability, indemnity, governing law) survive termination.

These Terms are governed by the laws of India. The parties consent to exclusive jurisdiction and venue in the courts of Indore, Madhya Pradesh, India, except that we may seek injunctive relief elsewhere.

We may update these Terms from time to time. Updates are effective when posted on this page. Continued use of the Site or Services after updates constitutes acceptance.
